Please read these Terms of Service ("Terms") carefully before using the Learpy platform. These Terms constitute a legally binding agreement between you and Learpy Tecnologia Educacional Ltda. ("Learpy," "we," "us," or "our"). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
"Services" means the Learpy AI-powered adaptive learning platform, including our website at learpy.org, mobile applications, API, and all related content, features, and functionality.
"User" means any individual who creates an account or accesses the Services.
"Enterprise Customer" means a company or organization that has subscribed to a Team or Enterprise plan and whose employees or members use the Services through a corporate account.
"Subscription" means a paid or free plan that grants you access to the Services for a defined period.
"Content" means all text, video, audio, assessments, AI-generated explanations, skill tracks, and other learning materials available through the Services.
"User Content" means any content you submit to the Services, including assessment responses, notes, feedback, and communications with AI features.
You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding contract, and are not barred from using the Services under applicable law.
To access most features of the Services, you must create an account by providing accurate, current, and complete information as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@learpy.org if you suspect unauthorized use of your account.
You agree to keep your account information accurate and up to date. We reserve the right to suspend or terminate accounts that use false or misleading registration information. One individual may not create multiple accounts; one account may not be shared between multiple individuals without explicit enterprise authorization.
Learpy offers a free Starter plan and paid Pro, Team, and Enterprise plans. The features available in each plan are described at learpy.org/price.html and are subject to change with appropriate notice. A free trial of 14 days is available for paid plans; no credit card is required to initiate a free trial, but payment information must be provided before the trial period expires to continue without interruption.
Paid subscriptions are billed in advance on a monthly or annual basis as selected at checkout. By providing payment information, you authorize Learpy to charge the applicable subscription fee to your payment method at the beginning of each billing period. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. Prices are stated in USD unless otherwise specified and do not include applicable taxes. You are responsible for all taxes associated with your subscription.
Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at billing@learpy.org. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until the end of the period for which you have paid.
We reserve the right to change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period following the notice period. Your continued use of the Services after a price change takes effect constitutes acceptance of the new price.
We offer a 14-day money-back guarantee for new Pro and Team subscriptions. If you are not satisfied with your paid subscription within the first 14 days, contact us at billing@learpy.org for a full refund. After the 14-day period, no refunds are provided for partial billing periods. Enterprise annual contracts have refund terms as specified in the enterprise agreement.
Subject to these Terms and your active subscription, Learpy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or your organization's internal learning and development purposes.
You may not: (a) sublicense, sell, resell, transfer, assign, or otherwise commercialize the Services; (b) reverse engineer, disassemble, decompile, or attempt to derive the source code of the Services; (c) use the Services to develop a competing product or service; (d) scrape, crawl, or extract data from the Services by automated means except through our official API; (e) access the Services through unauthorized scripts, bots, or automated methods; (f) use the Services in any manner that could damage, disable, overburden, or impair our infrastructure; (g) upload or transmit viruses, malware, or other harmful code; (h) use the Services to infringe the intellectual property rights of others; (i) use the Services for unlawful purposes or in violation of applicable regulations.
Our AI-generated practice content and assessments are intended for genuine learning. Using AI or automated tools to complete assessments, generate responses to practice exercises, or otherwise circumvent the learning process undermines the purpose of the Services and may result in account suspension. Learpy's certifications are based on demonstrated competency; falsifying this evidence devalues the certification for all users.
The Services and all Content, including but not limited to text, video, assessments, AI models, skill tracks, software, user interface designs, logos, and trademarks, are the exclusive property of Learpy or its licensors and are protected by Brazilian and international copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property ownership to you.
You retain ownership of User Content you submit to the Services. By submitting User Content, you grant Learpy a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, and process your User Content solely for the purpose of providing the Services. We may use aggregated, anonymized User Content to improve our AI models and platform, but we will never identify you personally in such use.
If you provide Learpy with suggestions, ideas, or feedback regarding the Services ("Feedback"), you grant us an unlimited, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without any obligation of confidentiality or compensation to you.
The Learpy platform uses AI systems including large language models, knowledge tracing algorithms, and adaptive recommendation systems to personalize your learning experience and generate educational content. AI-generated content, while designed for accuracy, may contain errors or reflect information that becomes outdated. We continuously review and improve our AI systems, but you should not rely on AI-generated content as authoritative professional, legal, medical, financial, or technical advice without independent verification.
Our AI systems process your learning activity data, assessment responses, and engagement patterns to personalize your learning path. This processing is fundamental to the adaptive learning service we provide. By using the Services, you consent to this processing as described in our Privacy Policy.
AI learning systems have inherent limitations. Our personalized learning paths represent recommendations based on available data and may not perfectly reflect your optimal learning trajectory. Competency scores generated by our AI assessment system are estimates based on your performance within the platform and are not equivalent to externally validated professional certifications unless specifically stated.
Enterprise Customers are subject to a separate Enterprise Agreement that supplements these Terms. In the event of any conflict between these Terms and the Enterprise Agreement, the Enterprise Agreement governs with respect to the Enterprise Customer relationship.
Enterprise Customers designate one or more administrators who are responsible for managing user accounts, configuring organization settings, and ensuring that all users comply with these Terms. Enterprise Customers are responsible for the conduct of their administrators and end users.
For Enterprise Customers subject to GDPR, we enter into a Data Processing Agreement (DPA) that governs our processing of personal data on behalf of the Enterprise Customer. The DPA is incorporated by reference into the Enterprise Agreement.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEARPY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT USING THE SERVICES WILL RESULT IN ANY PARTICULAR LEARNING OUTCOME, JOB PLACEMENT, OR PROFESSIONAL ADVANCEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEARPY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF LEARPY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) BRL 1,000. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES AND LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Learpy, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of a third party.
Learpy may suspend or terminate your account immediately, without notice or liability, if you breach these Terms or engage in conduct that is harmful to other users, third parties, or Learpy's business interests. You may terminate your account at any time through your account settings. Upon termination, your license to use the Services immediately terminates. We may retain your data as described in our Privacy Policy.
These Terms are governed by the laws of Brazil without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved by binding arbitration administered by the Centro Brasileiro de Mediação e Arbitragem (CBMA) in São Paulo, Brazil, in accordance with its rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. The language of arbitration proceedings shall be Portuguese or English at the election of the claimant. Notwithstanding the foregoing, consumers in the European Union retain the right to bring disputes before the courts of their member state under applicable consumer protection law.
We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes by email and by displaying a prominent notice in the Services. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Enterprise Agreement, constitute the entire agreement between you and Learpy with respect to the Services and supersede all prior agreements. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right under these Terms shall not constitute a waiver of that right. You may not assign these Terms without our prior written consent. Learpy may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
